Terms of Service

These Terms of Service (the “Terms”) are a binding agreement between you and gridlords.lol (“Gridlords,” “we,” “us,” or “our”). By accessing or using gridlords.lol, its pages, features, and related services (collectively, the “Service”), you agree to these Terms and our Privacy Policy.

If you do not agree, do not use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

You must be legally capable of entering into a binding agreement. You must be at least 18 years old, or the age of legal majority where you live, to make a purchase. You may browse the Service without creating a traditional account.

We may assign your browser a pseudonymous visitor identifier so the board can remember your position, claims, bids, and activity. You are responsible for activity associated with your browser and for keeping access to your device secure.

Gridlords is an interactive public board where visitors can explore squares, make in-product claims and bids, and purchase promotional placements or sponsorships. Board values, virtual balances, rankings, availability, auction states, and placements may change as people interact with the Service.

Unless a checkout page expressly says otherwise, board cash, points, positions, claims, and bids are game features only. They have no cash value, are not legal tender, and cannot be redeemed, transferred, withdrawn, or exchanged for money.

When you submit a domain, brand name, logo reference, or other material for a sponsorship or placement (“Submitted Content”), you represent that you own it or have permission to use it. You grant Gridlords a worldwide, non-exclusive, royalty-free license to host, reproduce, format, and publicly display that Submitted Content as needed to provide and promote the purchased placement.

Sponsorship position and visibility may depend on the applicable bid, board activity, campaign status, and later purchases. Unless we expressly promise a fixed duration in writing, a purchase does not guarantee permanent placement, a particular audience size, clicks, leads, sales, or any other result. A higher qualifying sponsorship may replace or outrank an existing placement.

We may reject, remove, or suspend Submitted Content that violates these Terms, infringes rights, is misleading, contains malware, or could harm users or the Service. Removal for a violation does not entitle the purchaser to a refund except where required by law.

Prices are shown in U.S. dollars unless stated otherwise. Paid sponsorships are one-time purchases unless the checkout page clearly identifies a recurring subscription. Payments are processed by Stripe, and you also agree to any terms Stripe applies to your payment method. You authorize the charge shown at checkout, including any applicable taxes or fees disclosed before payment.

Because a digital sponsorship can be activated and made available immediately, completed purchases are generally final once the placement has been activated. If we fail to activate a paid placement because of our technical error, or if you believe a charge was duplicated or unauthorized, email [email protected] within 14 days of the charge. We will investigate and, where appropriate or required by law, reactivate the service, provide a replacement, or issue a refund.

You may not submit a knowingly false payment dispute. Nothing in these Terms limits any non-waivable refund, cancellation, or consumer right available under applicable law.

You may not use the Service to:

• break any law or encourage unlawful conduct;
• infringe intellectual property, privacy, publicity, or other rights;
• submit deceptive, defamatory, hateful, sexually exploitative, or malicious content;
• impersonate another person or misrepresent your affiliation with a brand;
• introduce malware, scrape at abusive volume, evade security, or disrupt the Service;
• manipulate bids, payments, metrics, or board activity through fraud or automation; or
• use the Service in a way that creates unreasonable risk or liability for others.

The Service, including its design, software, graphics, text, game mechanics, trademarks, and other original materials, is owned by Gridlords or its licensors and is protected by intellectual property laws. These Terms give you a limited, revocable, non-exclusive, non-transferable right to use the Service for its intended purpose.

Except for Submitted Content you own, you may not copy, sell, license, reverse engineer, or create derivative works from the Service without our written permission, except to the extent applicable law does not allow that restriction.

We may add, change, suspend, or discontinue any part of the Service. We do not promise that the Service, a square, an auction, or a placement will always be available or uninterrupted. We may correct pricing, display, or technical errors and may invalidate activity affected by fraud, abuse, or an obvious error.

We may update these Terms from time to time. The “Last updated” date shows when the current version took effect. Material changes will apply prospectively, and continued use after they take effect means you accept the revised Terms.

To the fullest extent permitted by law, the Service is provided “as is” and “as available.” We disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted availability. We do not guarantee promotional performance, traffic, revenue, ranking, or any particular outcome from a placement.

No statement in these Terms excludes a warranty or right that cannot lawfully be excluded.

To the fullest extent permitted by law, Gridlords and its owners, operators, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business opportunities arising from the Service.

Our total liability for any claim relating to the Service will not exceed the greater of (a) the amount you paid us for the transaction giving rise to the claim during the six months before the event or (b) US$100. These limits do not apply where liability cannot legally be limited.

You may stop using the Service at any time. We may restrict or terminate access, remove Submitted Content, or cancel affected board activity if you violate these Terms, create risk for users or the Service, or if we are legally required to do so.

Provisions that by their nature should survive termination—including payment obligations, licenses already granted, intellectual property protections, disclaimers, and limitations of liability—will survive.

These Terms and the Privacy Policy are the entire agreement between you and Gridlords concerning the Service. If a provision is unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them as part of a reorganization, financing, merger, acquisition, or transfer of the Service.

Applicable law and forum will be determined by the place where the Service operator is legally established, subject to any mandatory consumer protections in your country of residence.
